Welcome to HeyChat. By accessing or using our website, mobile application, and related services (collectively, the "Platform"), you agree to be bound by these Terms of Service and Platform Policy ("Terms"). If you do not agree to these Terms, do not use the Platform.

1. Platform Overview & Scope of Services

HeyChat provides an integrated platform combining real-time messaging, native content translation (HeyTranslate), and an interactive peer-to-peer and business marketplace (HeyShop).

• Communication: Direct messaging, group chats, and broadcast features.
• HeyTranslate: Machine learning-driven real-time translation intended to assist cross-language communication. Translations are automated; HeyChat does not guarantee absolute contextual or grammatical accuracy.
• HeyShop: A discovery and connection layer facilitating communication between independent buyers and sellers.

2. User Accounts & Verification

• Eligibility: You must be at least 13 years of age (or the legal age of digital consent in your jurisdiction) to create an account.
• Account Security: You are responsible for safeguarding your login credentials and authentication codes (such as SMS OTPs). You accept full responsibility for any activity conducted under your account.
• Accurate Information: Users, particularly merchants operating on HeyShop, must provide accurate, current, and verifiable contact and business details. Providing misleading identity information may result in immediate suspension.

3. HeyShop & Commercial Transactions

• Independent Parties: HeyShop is a venue connecting independent buyers and merchants. Unless explicitly stated otherwise, HeyChat is not an auctioneer, retailer, or direct party to agreements, warranties, fulfillment, shipping, or quality guarantees between users.
• Pricing & Payments: Prices displayed on storefronts or quoted in chats are determined solely by sellers. Users are responsible for confirming order specifics, delivery terms, and fees before initiating payment via authorized payment integrations.
• Prohibited Items & Activities: Users may not list, advertise, or transact:
  • Counterfeit, stolen, or unauthorized replica goods.
  • Weapons, firearms, explosives, or hazardous materials.
  • Illicit substances, prescription drugs, or unapproved medical devices.
  • Adult services or sexually explicit material.
  • Fraudulent schemes, pyramid models, or unlicensed financial services.

4. Acceptable Use & Community Guidelines

When using HeyChat communication channels and community forums, you agree not to:

• Harass, abuse, threaten, or defame any individual or organization.
• Transmit unsolicited bulk messages, spam, or promotional campaigns outside designated merchant spaces.
• Distribute viruses, trojans, malicious code, or scrape platform data using automated scripts without express written permission.
• Attempt unauthorized access to other user accounts, servers, or connected network infrastructure.

5. Content Ownership & Moderation

• Your Content: You retain ownership of messages, images, product listings, and media you transmit or upload. You grant HeyChat a non-exclusive, worldwide license to host, display, translate, and transmit this content solely as necessary to operate platform features.
• Content Enforcement: HeyChat reserves the right, but does not assume the obligation, to review, hide, or remove any listing or suspend any account that violates these Terms or applicable local laws.

6. HeyTranslate Disclaimer

HeyTranslate features are provided for conversational convenience on an "as is" and "as available" basis. HeyChat disclaims any liability for financial loss, contractual misunderstandings, or damages arising directly or indirectly from translation errors or system delays.

7. Limitation of Liability & Disclaimers

• As-Is Provision: HeyChat and HeyShop are provided without warranties of any kind, whether express, statutory, or implied, including merchantability, fitness for a particular purpose, or uninterrupted service.
• Limitation: To the maximum extent permitted by applicable law, HeyChat, its affiliates, directors, and employees shall not be liable for any indirect, punitive, incidental, or consequential damages arising from your use of the messaging tools, marketplace interactions, or off-platform disputes between buyers and sellers.

8. Account Termination

HeyChat reserves the right to suspend or permanently terminate your access to the Platform at our sole discretion, without prior notice, for conduct that violates these Terms, harms other users, or creates regulatory or legal liability.

9. Modifications to Terms

We may update these Terms periodically to reflect product updates, operational changes, or legal obligations. Continued use of the Platform after revisions become effective constitutes your acceptance of the revised Terms.
